1. Your Use of Heywa

You agree to use Heywa in accordance with these Terms, applicable laws, and the Acceptable Use Policy.

You may use Heywa for your own personal use only. You may not use Heywa for any commercial or business purposes.

You may not use Heywa for any unlawful purpose, attempt to reverse engineer the platform, or misuse the service in ways that may cause harm to others or the platform.

You must be at least 18 years old to use Heywa.

We reserve the right to restrict, suspend or terminate access to our services or to close your account for operational, business or security reasons, including but not limited to:

• if we must do so to comply with the law;
• if your use of Heywa could cause risk or harm to Heywa, our users, or anyone else; or
• if we detect or are otherwise alerted to misuse or non-compliance with these Terms, including the Acceptable Use Policy.

Heywa is directed to users residing in the United Kingdom, the United States of America and Canada. Heywa is not intended to be used by users residing outside of the United Kingdom, United States of America and Canada, and you agree not to access or attempt to access Heywa outside of the United Kingdom, United States of America or Canada. We do not represent that content made available through Heywa is appropriate for you if you reside in any other part of the world.

You must not share your password or other login credentials with any other person and must keep all details secure and confidential.

2. Acceptable Use

You agree not to misuse Heywa, including by:

• attempting to extract, exploit, or reverse-engineer the underlying models, datasets, or system behaviour;
• using automated tools (e.g. bots or scrapers) to access or query the service in bulk;
• submitting malicious, unlawful, or deliberately misleading queries intended to manipulate system output or cause harm;
• attempting to use the service to solicit or surface content that promotes hate, violence, or misinformation; and
• infringing or attempting to infringe the rights (including any intellectual property rights) of any third party.

Please don’t input sensitive information (such as national insurance numbers, passport numbers, financial account details, or passwords) into Heywa.

3. Content and Accuracy

Heywa surfaces AI-generated responses based on publicly available or licensed data.

As with any AI product, Heywa doesn’t always get it right. For example, in some cases Heywa may misinterpret web content or miss context, as can happen with any automated system in search. We do not make any representations or provide any guarantees as to the accuracy, reliability, or completeness of any content available on Heywa and you should always double-check the responses that Heywa provides.

Heywa will provide you with links to third party sources of information, including their websites. We do not control any third party sources and do not take any responsibility for your use of any third party websites or information derived from such sources. When visiting a third party website you may be subject to that third party’s terms and conditions.

Heywa will always undertake to provide transparency as to the source of answers provided. In addition to factual information, we will sometimes also provide you with other human perspectives, for example via our "Voices" interface. These human perspectives represent third-party user-generated opinions that do not necessarily represent Heywa’s views.

Content is provided for informational purposes only. Heywa does not provide legal, medical, financial, or other professional advice. Always consult a qualified professional for specific advice.

4. Intellectual Property

All intellectual property rights in the Heywa platform, including the software, UI/UX elements, visual elements, code, outputs and any original content published on Heywa are owned by Heywa Ltd or licensed to it. You may not use the Heywa platform or any element of it for any purpose that is not explicitly permitted in these Terms.

Heywa hereby grants you a non-exclusive, royalty free, revocable licence to use the outputs generated by Heywa provided that you do so in accordance with all applicable laws and the remainder of these Terms.

Third-party content remains the property of its respective owners. Reuse or redistribution without permission is prohibited.

You are responsible for all content inputted into the Heywa platform and you warrant that you have all necessary rights, licences and permissions required to input such content into the Heywa platform.

Due to the nature of artificial intelligence, outputs provided by Heywa may not be unique and other users of Heywa may receive similar outputs.

5. Disclaimers and Limitations of Liability

THE HEYWA PLATFORM AND ASSOCIATED SERVICES ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, HEYWA AND ITS LICENSORS DISCLAIM ALL WARRANTIES, CONDITIONS OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, OR NON-INFRINGEMENT. HEYWA MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE THAT THE PLATFORM OR ASSOCIATED SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, THAT OUTPUTS WILL BE ACCURATE, THAT DEFECTS WILL BE CORRECTED, OR REGARDING ANY THIRD-PARTY SERVICES. HEYWA WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INPUT, YOUR USE OF ANY OUTPUT, THIRD-PARTY SERVICES, THIRD-PARTY CONTENT, OR NON-HEYWA SERVICES (INCLUDING FOR ANY DELAYS, INTERRUPTIONS, TRANSMISSION ERRORS, SECURITY FAILURES, AND OTHER PROBLEMS CAUSED BY THESE ITEMS).

We aim to provide continuous access but cannot guarantee uninterrupted service. Heywa may be temporarily unavailable due to maintenance, updates, or third-party service disruptions.

Heywa allows you to access information from across the internet but does not verify or authenticate that information and takes no responsibility for the content of any output. You are solely responsible for verifying any information obtained through Heywa and for your use of any output. AI-generated responses may contain inaccuracies, omissions, or "hallucinations" (plausible-sounding but incorrect information). You must independently verify all outputs before relying on them, particularly for any important decisions.

Except in respect of death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors, or in cases of fraud or fraudulent misrepresentation, we will not be liable for any loss or damage that you suffer arising out of your use of Heywa.

6. Personal Data

We will use your personal information only as set out in the Privacy Policy.

7. Feedback

We welcome your feedback about Heywa, and you grant us an irrevocable and perpetual licence to use feedback for the purposes of improving, developing or providing Heywa without credit or compensation to you.

8. General Terms

Assignment. You may not assign or transfer any rights or obligations under these Terms. We may assign or transfer our rights or obligations under these Terms to any affiliate or subsidiary or any successor in interest of any business associated with Heywa. If we do, any rights you have as a consumer will not be affected. If you are not satisfied, you have the right to terminate your relationship with Heywa and stop using our services at any time.

Entire agreement. These Terms contain the entire agreement between you and Heywa regarding the services and, other than any service-specific terms, supersede any prior or contemporaneous agreements between you and Heywa.

Governing law. These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, including its subject matter or formation.
